ANNEXURE B – CODE OF CONDUCT & ETHICAL GUIDELINES

This Annexure forms an integral part of the Asset Partner Agreement executed between Websequent Tech Private Limited operating under the brand name “Villestate” and the registered Asset Partner.

1. Professional Conduct

Asset Partner shall maintain honesty, integrity, and professionalism and avoid misleading practices.

2. No Misrepresentation

Asset Partner shall not guarantee returns, promise unauthorized discounts, alter pricing, or make false commitments.

3. RERA & Legal Compliance

Asset Partner must comply with RERA, Consumer Protection Act, IT Act, AML laws, and other applicable Indian laws.

4. No Unauthorized Commitments

Asset Partner shall not accept funds personally, issue unofficial receipts, or sign documents on behalf of the Company.

5. Data Protection

Customer data and CRM leads remain Company property. Unauthorized sharing/exporting is strictly prohibited.

6. Anti-Circumvention

Asset Partner shall not bypass the Company for 24 months post termination regarding introduced builders or leads.

7. Social Media & Branding

Brand usage must follow Company guidelines. Defamatory or harmful content is prohibited.

8. Conflict of Interest

Competing engagements or financial interest in promoted projects must be disclosed.

9. Complaint Handling

All complaints must be escalated through official CRM channels only.

10. Consequences of Breach

Company may suspend access, withhold commission, recover damages, terminate partnership, or initiate legal proceedings.
